DRAFT MINUTES2007 ANNUAL MEETING OF THE GPOAThe 2007 Annual Meeting was called to order by James Becton, President of the GPOA Board of Directors at 7:00 p.m. on Thursday, November 29, 2007, at The Emerald Clubhouse.Mr. Becton welcomed the members and the non-members of the GPOA and thanked them for coming.Mr. Becton informed the members that ballots were available for voting purposes in the event anyone had not voted.Mr. Becton reported that a copy of the President’s Message was available to anyone who wanted a copy, and that it would also be published on the Greenbier website.Mr. Becton inquired and was advised by Mr. Ken Houser of the Nominating Committee that we had a quorum by which to proceed with the annual meeting and elections. Mr. Becton introduced each member of the 2007 Board.Board members present were Jerry Elliott, Vice-President; Ceil Wasserman, Treasurer; Kathie Jones, Assistant Treasurer, Don Addario, Member at Large; John Harding, Assistant Secretary; Laurie Collier, Secretary; and James Becton, President.Each Board Member stood and stated their names, position of the Board and Committee assignments. Mr. Becton asked that each candidate present who was running in the 2008 election to stand and introduce themselves.Candidates present for the 2007 Board included Barbara Stoll, Greg Singleton, Ron Moore and Bill Accolla.Mr. Becton reported that candidate Dixie Babb was not present.Mr. Becton reported that bythe end of the meeting three of the candidates would become new members of the GPOA Board. Mr. Becton thanked the candidates for volunteering to run in the election. Mr. Becton reported that the Board is currently soliciting suggestions and bids from various landscape architects to provide opinions, plans and drawings to address the Greenbrier Parkway entrance and island with respect to beautification.Mr. Becton reported that we are faced with numerous problems involving the Greenbrier Parkway entrance including the fact that the area is covered with trees thereby providing very little sunlight, as well as plant eating animals such as deer.Mr. Becton reported that the community has encountered vandalism to the lighting at the Greenbrier Parkway entrance on at least two occasions, and the Board is in the process of having repairs made which is already in progress.Mr. Becton further reported that the Board is obtaining bids to update the wiring and the establishing of lighting fixtures such as “bunker” lights in an attempt to stop future vandalism.Mr. Becton reported that the New Bern Police Department has been made aware of the vandalism issues and they have been patrolling the area.Mr. Becton requested that the community be aware and alert and encouraged them to call 911 if they suspected any suspicious activity. Mr. Becton reported that the Board has put in place a By-Laws and Covenants Committee to review the By-Laws and to present proposed changes to the GPOA Board for consideration.Mr. Becton reported that some of the By-Laws are now somewhat antiquated and should be reviewed on an annual basis so that any changes necessary could be submitted to the membership for voting purposes.Mr. Becton reported that Mr. Alan Berger is chairing the Committee and invited other volunteers to step forward. Mr. Becton reported that the Board has put in place a Development Committee to oversee future development and growth of any and all properties surrounding Greenbrier.Mr. Becton reported that this committee shall monitor any potential growth by developers and/or the City of New Bern, etc., and report to the GPOA Board.Mr. Becton reported that Mr. Dick Scoppe is chairing the Development Committee and that the GPOA President shall sit on the Committee ex-officio.Mr. Becton invited other volunteers to step forward. Mr. Becton inquired whether Ms. Jane Dulane was present, however, Ms. Dulane was not present at the time of the annual meeting. Mr. Becton turned the floor over to Ms. Laurie Collier for an ACC update.Ms. Collier thanked the community for their attendance at the annual meeting.Ms. Collier reported that the ACC Committee Members had received and reviewed in excess of 86 ACC Applications during 2007, including one new home construction and several additions.Ms. Collier thanked the ACC Committee members consisting of Chairman Don Spingler, Co-Chairman Matt Miller, and ACC Committee Members Barbara Stoll, Bea Alexander, Steve Damico, Bob Callinan and Bill Accolla.Ms. Collier also thanked Dan Addario for his assistance with the ACC Committee.Ms. Collier reported that she felt the ACC Committee had done an excellent job in turn-around time of 3 to 5 days on most Applications.Ms. Collier encouraged the community to review and know their covenants, and to be aware that propane tanks and satellite dishes must be appropriately screened.Ms. Collier reported that anyone in need of a set of covenants should give her a call or contact any ACC Committee Member and a copy would be provided.Ms. Collier reported that a great deal of time, work and energy goes into participating on a committee such as the ACC Committee, and that her term on the GPOA Board and ACC Committee has provided her with much respect for the individuals who volunteer their time. Mr. Becton turned the floor over to Mr. Harding for a Beautification update.Mr. Harding reported that he wished to re-enforce what Ms. Collier had stated about the ACC.Mr. Harding reported that Greenbrier is where it is today mainly because of the enforcement of the covenants.Mr. Harding reported that the ACC Committee members take a lot of grief by the enforcement of the covenants and should be commended for their difficult work. Mr. Harding reported that the sums set forth in the annual budget for beautification and maintenance take care of both entrances into Greenbrier, the Greenbrier Parkway, the area by the pond on Greenbrier Parkway, the park on Pine Valley, and the berm on Clubhouse Drive.Mr. Harding reported that these areas are the responsibility of the GPOA.Mr. Harding reported that the replacement of the lights which were vandalized resulted in significant cost to the GPOA, and that the lights being installed should be more resistant to vandalism.Mr. Harding reported that the sprinkler system and pump were old and required replacement earlier in the year.Mr. Harding asked that the membership keep in mind that a lot of these items were original to the development of Greenbrier and that the GPOA would be facing additional updating in the future. Mr. Harding reported that the Christmas decorations at the entrances are at the courtesy of the Greenbrier Garden Club.Mr. Harding thanked the Greenbrier Garden Club for their support in the community.Mr. Harding also thanked Mr. Steve Damico and Ms. Linda Howard for their hard work and dedication to the beautification at the college entrance.Mr. Harding encouraged the community to volunteer and become more involved in the Greenbrier community. Mr. Becton turned the floor over to Ms. Ceil Wasserman and Ms. Kathie Jones regarding the 2008 proposed budget.Ms. Wasserman reported that there would be no increase in dues for 2008.Ms. Wasserman apologized for the typo at the top of the budget proposal which should read “GPOA 2008 Budget Proposal”.Ms. Wasserman opened up the floor for questions concerning the budget.Ms. Barbara Stoll inquired where the donation amount came from.Ms. Wasserman reported that Alderman Dana Outlaw had been providing a $1500.00 donation from his discretionary fund on an annual basis to the GPOA.Ms. Stoll inquired whether the GPOA provides a copy of the insurance policy to homeowners.Ms. Wasserman reported that it has never been the practice of the GPOA to provide a copy of the insurance policy to all homeowners.Mr. Harding reported that while the GPOA Board did not provide a copy of the insurance policy to all homeowners, it was available should any member wish to view it.Mr. Harding further stated that he did not feel the cost of copying the insurance policy for all members was a necessary expense.Ms. Stoll inquired what the insurance policy covered.Ms. Wasserman reported that part of the costs were to insure the GPOA Board Members against personal liability.Ms. Jones reported that by law the GPOA Board was required to carry liability insurance on its Board Members against personal liability.Ms. Stoll inquired whether the insurance policy covered persons coming into Greenbrier to mow.Ms. Jones reported that maintenance personnel must carry their own insurance or be covered by workers compensation.Ms. Jones reported that if the GPOA hired someone individually, the liability insurance would cover that, but not for individual homeowners.Ms. Stoll inquired whether the expense of $1500.00 for legal services was a retainer.Ms. Wasserman reported that it was not a retainer, but was utilized for miscellaneous legal expenses such as a legal opinion with respect to a covenant violation issue.Mr. Becton reported that the last year expenses for legal services were more expensive as the GPOA Board had pursued the issue of mandatory association or assessment at the request of the membership.Mr. Becton reported that the issue had now been put to rest and that the allocation for the budget had now been cut in half to $1500.00.Ms. Stoll inquired about the allocation of $2200.00 for utilities. Ms. Wasserman reported that the GPOA has annual costs for electricity for entrance lights and flood lights, and water meters which it is responsible for paying.Ms. Stoll asked if the GPOA Board obtains bids for maintenance, to which Ms. Wasserman replied that the GPOA Board is currently seeking three or four bids for the Greenbrier Parkway entrance and island and has sought bids for the mowing contract.Ms. Stoll inquired as to why the 2008 Budget Proposal does not call for any Operational Reserves. Ms. Wasserman reported that the GPOA has a money market account, as well as two CDs, from which to draw funds that may be necessary. Mr. Becton clarified that last year’s Board decided that in order to have funds readily available we would create a line item to be called “Operational Reserves”.Mr. Becton further clarified that this year’s Board elected to eliminate those Operational Reserves as a line item cost.Mr. Becton reported that the GPOA has a savings account as a “rainy day” fund and it is kept for those purposes. Mr. Bob Burnette inquired why the GPOA 2008 Budget Proposal reflects $800.00 less in Beautification for this coming year than last year if in fact we are going to be redoing the front entrance island.Ms. Wasserman reported that the GPOA has been planting perennials for color.Ms. Wasserman further reported that the GPOA is in the process of obtaining bids so at this time is it not possible to assess any specific costs for Beautification of the front entrance island.The membership agreed that something needed to be done to open up the front entrance island as it is too dark. Mr. Alan Berger raised additional concern about the lack of Operational Reserves, and the fact that a meeting of the membership would need to be called in order to expend funds not set forth in the budget. Ms. Wasserman reported that the Board was aware of that fact.Ms. Wasserman further reported that one CD is currently earning 5.7%, and that the one maturing on February 17, 2008, is currently at 4.65%.Mr. Berger commended the Board for doing a great job on managing the funds, however, still felt that certain funds should be held as “Operational Reserves” within the budget for additional legal expenses, or vandalism costs, etc.Mr. Berger stated that he felt the budget was a bid rigid.Mr. Becton reported that he was in agreement with Mr. Berger, however, the GPOA Board felt that the membership should be involved if additional monies needed to be appropriated for additional or unanticipated expenditures, and that a special meeting would be called for that purpose if necessary. Mr. Accolla stated that a line item on the proposed budget should so reflect the intent of the GPOA Board. Mr. Bob Bartram inquired whether there would be discussion about the website.Mr. Becton reported that there would be discussion about the website following voting on the budget. Mr. Budd Rancatore inquired whether part of the $1500.00 in donations were made by homeowners in the community that did not want to join the GPOA, but did want to make a contribution or donation.Ms. Jones reported that no such donations were received this past year.Ms. Collier reported that membership increased this year over last year.Ms. Wasserman reported that membership currently stands at 502. Mr. Becton called for a vote on the GPOA 2008 Proposed Budget and instructed that there would be one vote allowed per household.Mr. Ken Houser, on behalf of the Nominating Committee, counted the show of hands to be 36.Mr. Ken Houser reported that the proxies totaled 111 (1 for Mr. Harding; 1 for Mr. Accolla; 1 for Mr. Elliott; 1 for Ms. Jones; 2 for Ms. Collier; and 105 for Mr. Becton, all of which were for approval of the budget).Mr. Houser reported that with the 111 proxies and 36 votes present, we had a total of 147. Mr. Becton reported that the GPOA 2008 Budget had been passed with 147 votes, in excess of the number required for a quorum.Mr. Budd Rancatore made a motion that the GPOA 2008 Proposed Budget be accepted, which motion was seconded by Mr. Bob Burnette, after which the GPOA 2008 Proposed Budget was accepted. Mr. Becton opened the floor up to the general membership for discussion. Mr. Jim White thanked the GPOA for resolving the long-standing issue of the berm, stating that it was due in large part to the opening of dialogue and leadership of the 2007 GPOA Board.Mr. White stated that he felt that Greenbrier has now moved into a new sense of community.Mr. Becton thanked Mr. White for his kind words, stating that at times the job appears to be thankless and that his kind words were much appreciated by the GPOA Board and makes it all worthwhile. Mr. Budd Rancatore commended the ACC Committee for the quick response time in 2007.Mr. Rancatore stated that he had at least three occasions to submit ACC requests during the year, and that each was dealt with in a timely and professional manner. Mr. Becton turned the floor over to Mr. Harding for information as to the Greenbrier website.Mr. Harding reported that the website is an informational site for homeowners in Greenbrier. Mr. Harding reported that Mr. Ron Benrey graciously offered to put the website together and had done a great job.Mr. Harding stated that if anyone had thoughts or suggestions as to the website to please bring them to the attention of the GPOA Board.Mr. Bob Bartram inquired as to the name of the website is and how residents can find out about it.Mr. Harding reported that numerous informational articles had been run in the Greenbrier Gazette, that the name of the website has been published numerous times, and that many of the articles written by GPOA Board members included the website which is www.greenbriernc.com.A new resident stood and announced that as a new resident in July he felt that the website contained any and all information needed by a new resident, and that all of his questions had been answered by the website.Mr. Becton reported that there is a flashing alert button on the website for matters of urgency, as well as memos and flyers placed in paper boxes throughout the community. Mr. Harding reported he would see if is too late to place the name of the website in the Greenbrier directory. Mr. Greg Singleton inquired about the issue of fishing in the ponds.Mr. Becton reported that the GPOA Board has engaged in dialogue with Mr. Jerry Briele at The Emerald with respect to fishing in the ponds. Mr. Becton reported that the problem is not so much the fishing, but with the activity that fishing brings such as vulgar language, leaving trash around the ponds, abuse of the fish, etc.Ms. Wasserman reported that Mr. Briele has placed signs, some of which have been knocked down or removed.Ms. Wasserman encouraged everyone to be aware of what is going on in the community and report any untoward activity.Ms. Collier reported that earlier in the year a resident had written a well-documented letter of events in and around the ponds which had been shared with Mr. Briele.Ms. Collier further reported that after meeting with Mr. Briele, he did have signs installed and was doing everything within his power to control the issue.Ms. Collier reported that she and her husband reside across from the pond at the driving range and since the signs were installed she has noticed a huge decrease in prior problems.Ms. Collier stated that this community is dependent on The Emerald as much as The Emerald is dependent on the community, and that we all need to work together more cohesively. Mr. Rancatore stated that the property along the Greenbrier Parkway is owned by the GPOA, and that is part of what is covered by our insurance.Mr. Rancatore stated that it is our responsibility as a community under community watch to report any suspicious activity to the police department. Ms. Laurie Collier announced that she would be willing to chair the luminaries for 2008, and would do so providing she had several volunteers. Mr. John Harding announced that a 2007 craft fair did not take place and required volunteers.Mr. Harding encouraged the residents to volunteer for any and all community-based events. Ms. Kathie Jones thanked Ms. Brenda Harding for all of her invaluable assistance with the welcoming committee and the Greenbrier Directory, and announced that we would be presenting her with a gift for all of her hard work and dedication. Mr. James Becton thanked Ms. Jane Dulane and the staff of the Greenbrier Gazette for all of their hard work on the very informative newspaper, and encouraged the community to let Ms. Dulane and her staff be aware of how much they are appreciated. Mr. Jerry Cox thanked Mrs. Pat Jones of Kingsmill Court for all of her hard work on articles for the Greenbrier Gazette, and informed the community as to recent serious health issues of her husband, Bob Jones. Mr. Cox encouraged the community to send cards to Mr. and Mrs. Jones so they will be aware that the community has them in their thoughts and prayers. Mr. Becton asked whether the membership had any additional questions and determined there to be none.Mr. Becton asked Mr. Houser to announce the winners of the 2008 GPOA Board elections.Mr. Houser announced that the three candidates who received the most votes were Ms. Barbara Stoll, Mr. Greg Singleton and Mr. Ron Moore.Mr. Becton congratulated the winning candidates and welcomed them on behalf of the 2007 GPOA Board. Mr. Becton thanked Mr. Houser for his assistance in the keeping of the ballots.Mr. Becton thanked the community for all of their support in making Greenbrier a wonderful community in which to live.
